Process agent

Acting as your särskild delgivningsmottagare, the Swedish-resident person authorised to receive service of process on the company's behalf.

If no board member, managing director or special signatory of your Swedish company is resident in Sweden, the board must appoint someone who is. That person receives formal service, such as court summonses, enforcement notices and Bolagsverket injunctions, and confirms receipt. They have no other authority: they cannot sign for the company, bind it, or access its affairs.

This is not a formality you can defer. Where the requirement is unmet, Bolagsverket can issue an injunction and ultimately consider whether the company should be put into liquidation. Boards typically discover this when a director moves abroad and the population register reports it.

Why appoint a legal adviser rather than an address service

What arrives at a process agent is, by definition, the serious post: litigation, enforcement, a regulator's deadline. A mailbox provider forwards it. We carry out client due diligence before accepting any appointment. Receiving legal process for a company means standing between it and the Swedish courts, and we need to know who we are acting for.
